The following terms and conditions, together with any documents and/or additional terms they expressly incorporate by reference (collectively, these "Terms and Conditions"), govern your access to and use of the Company’s platform, including any content, functionality, accounts, organization profiles, event listings, community postings, ticketing, registration, payment, communication, location, and related services offered on or through www.myvillage.ca or www.visek.ca (each "Website").

Platform Description and Nature of Services
The Website (operated by VISEK INC. at www.myvillage.ca) is a community discovery and event management platform that connects individuals with local community organizations, events, and activities. The Website enables both organizational and individual membership, including: (a) associations, non-profits, businesses, charities, and other organizations (“Organizations”) to create Organization profiles, maintain organizational memberships, post events, manage registrations, and communicate with community members; and (b) individual users to create individual memberships, discover local Organizations, browse events and activities, register for events, purchase tickets where available, post certain permitted local notices or events, and receive communications relating to Organizations, events, registrations, and ticket purchases.
Browsing the Website is free. However, certain features, postings, transactions, or services may be subject to fees, including nominal posting fees for certain local sales, lost pet notices, community notices, or other permitted user postings. These fees help reduce spam and support the ongoing operation of the Website. The Company may waive certain fees for approved Organizations or associations, including where such Organizations or associations are permitted to post local events or other content without charge through an approved Organization account.
You are responsible for paying all fees, charges, and taxes that you agree to pay or that are disclosed to you in connection with your use of the Website, including any applicable posting fees, service fees, platform fees, processing fees, convenience fees, administrative fees,registration fees, ticket charges, membership fees, donation amounts, sponsorship payments, or other charges. All such fees, charges, payments, and transactions are subject to these Terms and Conditions.
For the purposes of these Terms and Conditions, “user”, “User”, “users” and “Users” include, collectively and as applicable, all individuals, Organizations, and any person accessing, using, creating, administering, or acting through an individual account or Organization account on the Website, and shall be interpreted in the broadest sense permitted by these Terms and Conditions.
IMPORTANT NOTICE: THE COMPANY DOES NOT ORGANIZE, HOST, SPONSOR, ENDORSE, OR OPERATE ANY EVENTS, SALES, OR ACTIVITIES LISTED ON THE PLATFORM. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SAFETY, LEGALITY, ACCURACY, AVAILABILITY, ACCESSIBILITY, OR ANY OTHER ASPECT OF ANY EVENT, ACTIVITY, POSTING, ORGANIZATION, USER, MEMBERSHIP, TRANSACTION, LOCAL SALE, LOST PET NOTICE, OR OTHER COMMUNITY NOTICE FACILITATED THROUGH THE PLATFORM.
Modifications to the Terms and Conditions and to the Website
We reserve the right in our sole discretion to revise and update these terms and conditions from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the Website. You agree to periodically review the terms and conditions in order to be aware of any such modifications and your continued use shall be your acceptance of these.

Any review, vetting, or verification of an Organization by the Company is limited and does not constitute an endorsement, certification, representation, warranty, or guarantee of that Organization’s identity, legitimacy, qualifications, reputation, financial standing, safety practices, event quality, compliance with law, or other characteristic. Each Organization is solely responsible for ensuring that all information submitted through the Website is accurate, complete, and current, and that it has all licences, permits, consents, insurance, and approvals required for its events and activities.
Where you create, apply for, administer, or use an Organization account on behalf of an Organization, you represent and warrant that you have full legal authority to bind that Organization to these Terms and Conditions and to submit, post, manage, and administer content, listings, registrations, communications, memberships, and other activity through the Website on behalf of that Organization. If the Organization is a corporation, partnership, association, charity, non-profit, business, or other incorporated or legally recognized entity, the individual creating or administering the Organization account represents and warrants that they are authorized to act for and bind that Organization.
If the Organization is an unincorporated association, informal group, community group, club, collective, or other entity without separate legal personality, the individual creating, applying for, administering, or using the Organization account is personally responsible for the Organization account and for all content, listings, registrations, memberships, communications, transactions, and other activity submitted, posted, managed, or conducted through that account.
The Website may permit both individual user content and Organization content. Individual user content includes any information, communications, registrations, postings, messages, reviews, comments, or other materials submitted by an individual user through an individual account or otherwise through the Website. Organization content includes any Organization profile, event listing, membership information, registration page, ticketing information, promotional material, communication, posting, message, logo, image, or other material submitted, posted, managed, or made available through an Organization account.
You are solely responsible for all activity conducted through your individual account. Each Organization, and each individual responsible for an Organization account where applicable, is solely responsible for all activity conducted through the Organization account, including the accuracy, legality, completeness, and appropriateness of all Organization content and all communications with users, members, registrants, ticket purchasers, attendees, and other persons.
Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to our Website. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Website.
Your registration information, account information, User Submissions, and use of Interactive Functions are subject to these Terms and Conditions and the Privacy Policy. Any username, password, or any other piece of information chosen by you, or provided to you as part of our security procedures, must be treated as confidential, and you must not disclose it to any other person or entity. Termination does not affect any rights or obligations that accrued before termination or that survive under these Terms and Conditions.

Organizations and users are responsible for ensuring that they own or have all necessary rights, licences, consents, permissions, and authority for any names, logos, trademarks, photographs, videos, descriptions, event materials, membership materials, communications, postings, or other content they submit, upload, post, display, or otherwise make available through the Website. Where content is submitted through an Organization account, the individual submitting such content represents and warrants that they are authorized to do so on behalf of the applicable Organization. No Organization or user may upload, submit, post, display, or otherwise use any content that infringes, misappropriates, or otherwise violates any intellectual property, privacy, publicity, confidentiality, contractual, or other proprietary or legal right of any third party.
Subject to these Terms and Conditions, you may use the Website only for lawful purposes and only in the manner made available by the Company. Individual users may use the Website for their personal, non-commercial use, including to browse Organizations, events, activities, memberships, and related content, and to register for events, purchase tickets where available, and communicate through the Website. Organizations may use the Website for their authorized organizational purposes, including to create and manage Organization profiles, memberships, event listings, registrations, ticketing, communications, and related content, in each case only in accordance with these Terms and Conditions and any applicable account permissions or policies made available by the Company.
Except as expressly permitted by these Terms and Conditions or by the functionality of the Website, you shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, scrape, copy, or transmit any material on the Website, in any form or medium whatsoever, except that:
  • (a) your computer and browser may temporarily store or cache copies of materials being accessed and viewed;

Conditions of Use and User Submissions and Site Content Standards
As a condition of your access to and use of the Website, you agree that you may use the Website only for lawful purposes, only in accordance with these Terms and Conditions, and only in connection with the functionality made available by the Company.
The following site content standards apply to any and all content, material, information, communications, listings, profiles, membership materials, registration materials, ticketing information, messages, posts, publications, displays, or transmissions that a user, including any 6individual user or Organization, submits, posts, publishes, displays, transmits, uploads, manages, or otherwise makes available through the Website or to other users or persons (collectively, “User Submissions”), and to any and all Interactive Functions. All User Submissions must comply with these Terms and Conditions and all applicable federal, provincial, local, and international laws, regulations, rules, and third-party terms of service.
Without limiting the foregoing, you warrant and agree that your use of the Website and any User Submissions shall not:

  • (b)Create, publish, promote, or administer any event, registration, ticket sale, Organization profile, or related communication that is false, misleading, fraudulent, unlawful, unsafe, discriminatory, or not intended to be honoured.
  • (c)In any manner violate the terms of use of any third-party website that is linked to the Website, including but not limited to, any third-party social media website.
  • (d)Include or contain any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in Company's sole discretion.

  • (o)Misrepresent your identity, affiliation, authority, credentials, qualifications, membership status, charitable or non-profit status, event details, pricing, fees, refund policies, cancellation policies, capacity, accessibility information, location, timing, or any other material information.
  • (p)Use the Website to collect, use, disclose, sell, share, or otherwise process personal information except as authorized by the Website, these Terms and Conditions, the Privacy Policy, and applicable law.
  • (q)Engage in any fraudulent, deceptive, abusive, or unauthorized payment, ticketing, registration, refund, chargeback, resale, transfer, donation, sponsorship, or membership activity.

  • (s)Scrape, harvest, extract, copy, compile, or otherwise collect information about users, Organizations, events, memberships, registrations, ticket purchasers, attendees, or other persons, including email addresses or other contact information, except as expressly permitted by the Website functionality and applicable law.
  • (t)Upload, transmit, introduce, or distribute any viruses, trojan horses, worms, logic bombs, malware, spyware, ransomware, corrupted files, harmful code, or other material that is malicious, technologically harmful, or intended to interfere with the proper operation of the Website.
  • (u)Interfere with, disrupt, overload, damage, disable, impair, or circumvent the Website, any account, any security feature, any payment or ticketing function, any 8registration process, or any systems, networks, servers, or services connected to the Website.
  • (v)Use the Website to send or facilitate unauthorized, excessive, misleading, or unlawful communications to users, members, registrants, ticket purchasers, attendees, Organizations, or other persons.
  • (w)Create, promote, advertise, administer, facilitate, or participate in any lottery, raffle, game of chance, betting, wagering, gambling, casino-style activity, sweepstakes, contest, prize promotion, or similar activity, except where expressly permitted by the Company in writing and only where all required licences, permits, registrations, rules, disclosures, age restrictions, and other legal requirements have been obtained and complied with.
  • (x)Create, promote, advertise, administer, facilitate, sell, distribute, or participate in any event, activity, transaction, membership, posting, or communication involving alcohol, cannabis, marijuana, controlled substances, illegal drugs, or regulated intoxicants, except where expressly permitted by the Company in writing and only where all required licences, permits, registrations, approvals, rules, disclosures, age restrictions, service requirements, health and safety obligations, and other legal requirements have been obtained and complied with.
User Submissions: Grant of Licence
The Website may contain Interactive Functions that allow users, including individual users and Organizations, to submit, post, publish, display, transmit, upload, manage, or otherwise make available User Submissions on or through the Website. User Submissions include individual user content and Organization content, including, without limitation, account information, Organization profiles, membership information and materials, event listings, event descriptions, registration information, ticketing information, payment-related information, messages, reviews, comments, communications, photographs, videos, logos, trademarks, promotional materials, and any other content, material, or information submitted, posted, published, displayed, transmitted, uploaded, managed, or otherwise made available by users or Organizations through the Website.
None of the User Submissions you submit to the Website will be subject to any confidentiality by the Company. By providing any User Submission to the Website, you grant the Company, its affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to a world-wide, royalty free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose and according to your account settings and/or incorporate such material into any form, medium or technology throughout the world without compensation to you. You further waive any moral rights or other rights of authorship as a condition of submitting any User Submission.
By submitting, posting, publishing, displaying, transmitting, uploading, managing, or otherwise making available any User Submissions through the Website, you represent and warrant that you own or have all necessary rights, licences, consents, permissions, and authority to do so, and that you have the right to grant the licence described in these Terms and Conditions to the Company, 9its affiliates and service providers, and each of their and our respective licensees, successors, and assigns. You further represent and warrant that all User Submissions comply with these Terms and Conditions, including the Conditions of Use and User Submissions and Site Content Standards, and all applicable laws, regulations, rules, third-party rights, and third-party terms of service.
Organizations are solely responsible for ensuring that all Organization content is accurate, complete, current, not misleading, and compliant with applicable law, including Organization profiles, membership information and materials, event listings, event descriptions, registration information, ticketing information, pricing, fees, taxes, capacity, age restrictions, participation requirements, cancellation policies, refund policies, accessibility information, required licences, permits, consents, insurance, and any other material terms or legal requirements.
You understand and agree that you, and not the Company or its parent, subsidiaries, affiliates, or their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, or successors, are fully responsible for any User Submissions that you submit, post, publish, display, transmit, upload, manage, or otherwise make available through the Website. You are fully responsible and legally liable, including to any third party, for all such User Submissions and for their accuracy, completeness, legality, reliability, and appropriateness.
Where User Submissions are made through an Organization account, the applicable Organization, and any individual responsible for the Organization account where the Organization is unincorporated or lacks separate legal personality, is fully responsible and legally liable for those User Submissions and for all related account activity. We are not responsible or legally liable to any third party for the content, accuracy, completeness, legality, reliability, or appropriateness of any User Submissions submitted by you, any Organization, or any other user of the Website.
Site Monitoring and Enforcement, Suspension, and Termination
Company has the right, without provision of notice to:
  • Remove or refuse to post on the Website any User Submissions for any or no reason in our sole discretion.
  • At all times, take such actions with respect to any User Submission deemed necessary or appropriate in our sole discretion, including, without limitation, for violating these Terms and Conditions.
  • Take appropriate legal action, including, without limitation, referral to law enforcement or regulatory authority, or notifying the harmed party of any illegal or unauthorized use of the Website. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website.
  • Terminate or suspend your access to all or part of the Website for any or no reason, including, without limitation, any violation of these Terms and Conditions.
  • Review, moderate, edit, restrict, remove, suspend, refuse, or decline to publish any account, Organization profile, event listing, User Submission, communication, 10registration, ticket transaction, or related activity where the Company determines, in its sole discretion, that such action is appropriate, including due to suspected fraud, safety concerns, legal risk, intellectual property concerns, complaints, chargebacks, reputational risk, or violation of these Terms and Conditions.
  • Approve, reject, suspend, restrict, or terminate any individual account, Organization account, Organization application, membership, event listing, registration, ticket, transaction, communication, or other Website activity at any time and for any reason in our sole discretion.
  • Cancel, suspend, restrict, or disable any event listing, registration, ticket sale, membership activity, payment, refund request, donation, sponsorship, or other transaction where the Company determines, in its sole discretion, that such action is appropriate, including due to suspected fraud, abuse, unlawful activity, safety concerns, payment issues, chargebacks, complaints, regulatory risk, or violation of these Terms and Conditions.
  • Require users or Organizations to provide additional information, documentation, confirmations, licences, permits, consents, approvals, insurance information, or authority to act where the Company determines that such information is necessary or appropriate in connection with an account, Organization profile, membership, event, registration, ticket sale, transaction, or other Website activity.

The Company may suspend, restrict, delay, cancel, or disable Transaction functionality, payments, or payouts if requested information is not provided, if information is inaccurate or incomplete, if Helcim or another payment processor or service provider requires it, or if the Company determines that additional review is necessary or appropriate.
The Company may rely on information provided by users, Organizations, Helcim, payment processors, financial institutions, acquirers, card networks, payment networks, service providers, regulators, law enforcement authorities, or other third parties in connection with payment processing, fraud prevention, compliance review, risk management, and Transaction administration.
If Helcim or any other payment processor, financial institution, acquirer, card network, payment network, regulator, or service provider delays, withholds, reverses, refuses, suspends, restricts, or conditions any payment, payout, refund, reserve, hold, chargeback, account, or Transaction, the Company will not be responsible for any resulting loss, delay, liability, or inability of an Organization to accept, process, receive, refund, or reconcile payments through the Website.
Each Organization is solely responsible for maintaining its Helcim account or other approved payment processor account, keeping all business, tax, banking, ownership, authorization, and verification information accurate and current, complying with all applicable payment processor requirements, and paying all applicable payment processor fees, chargebacks, reversals, 17penalties, assessments, reserves, deductions, taxes, and other amounts arising from or relating to its Transactions.
Payouts and Conditional Release of Funds
No Organization has any right or entitlement to receive any payout, settlement, or release of funds unless and until all applicable conditions have been satisfied, including completion of payment processing, fraud and compliance review, payment processor approval, expiration of any applicable hold or reserve period, satisfaction of refund and chargeback obligations, and compliance with these Terms and Conditions and all applicable payment processor requirements.
The Company may delay, suspend, withhold, reverse, or condition any payout or payment- related functionality where the Company determines that such action is appropriate due to refund risk, chargeback risk, fraud risk, regulatory risk, event cancellation or non-performance risk, complaint history, unusual Transaction activity, incomplete verification, payment processor requirements, or any actual or suspected breach of these Terms and Conditions.
Chargebacks and Payment Disputes
Each Organization is solely responsible for all chargebacks, payment reversals, payment disputes, retrieval requests, card network assessments, payment processor fees, penalties, investigation costs, re-presentment costs, collection costs, and other amounts arising from or relating to its Transactions. Each Organization must promptly cooperate with the Company, Helcim, payment processors, financial institutions, and service providers in responding to chargebacks, payment disputes, fraud reviews, compliance reviews, and related inquiries, including by providing requested documentation, event records, refund records, communications, proof of authorization, and proof of attendance or performance.
The Company may deduct, set off, withhold, recover, or require reimbursement for any chargebacks, reversals, disputes, fees, penalties, assessments, costs, or losses from amounts payable to an Organization or from any other payment method or account available for such Organization, to the maximum extent permitted by applicable law.
Refund Funding and Refund Processing
If the Company, Helcim, or any payment processor processes or facilitates refunds, credits, reversals, or other remedies on behalf of an Organization, the Organization must promptly provide or reimburse all amounts necessary to fund those refunds, credits, reversals, or remedies, together with any related fees, costs, chargebacks, or payment processor charges.
Refund functionality may be used only for bona fide refunds relating to legitimate Transactions conducted through the Website. Organizations may not use refund functionality for money transfers, cash advances, unrelated payments, laundering, payment circumvention, or any other improper purpose. The Company may decline to process refunds outside applicable payment processor windows or where manual processing is required, in which case the Organization remains solely responsible for satisfying any refund obligation owed to users under its policies or applicable law.
Fees, Charges, and Pricing
The Company may charge service fees, platform fees, posting fees, processing fees, convenience fees, administrative fees, subscription fees, payout fees, refund fees, chargeback fees, dispute fees, compliance review fees, or other charges in connection with access to or use of the Website, paid features, postings, Organization accounts, payment functionality, or Transactions conducted through the Website. Each Organization is solely responsible for all events, activities, memberships, registrations, ticket sales, donations, sponsorships, postings, Organization content, event content, pricing, fees, taxes, attendee communications, member communications, user communications, refund policies, cancellation policies, postponements, rescheduling, event changes, capacity limits, venue arrangements, accessibility measures, permits, licences, approvals, insurance, age restrictions, safety measures, health and safety requirements, alcohol-related requirements, cannabis-related requirements, gambling, lottery, raffle, contest, charitable, fundraising, regulated activity, consumer protection, privacy, anti-spam, and other legal obligations arising from or relating to its use of the Website or any Transaction.

Refunds, Cancellations, and Event Changes
Refund, cancellation, exchange, credit, postponement, rescheduling, and event-change policies are established, disclosed, honoured, and administered by the applicable Organization unless otherwise required by applicable law or expressly stated by the Company in writing. Organizations are solely responsible for determining, calculating, collecting, charging, reporting, remitting, and paying all applicable taxes, duties, levies, assessments, withholding amounts, and governmental charges arising from or relating to their events, activities, memberships, registrations, ticket sales, donations, sponsorships, payments, payouts, refunds, chargebacks, postings, or other Transactions, including any applicable sales, harmonized sales, goods and services, provincial, municipal, income, withholding, and similar taxes.
Each Organization is solely responsible for determining whether any exemption, zero-rating, rebate, charitable status, non-profit status, fundraising treatment, or other special tax treatment applies to its Transactions, and for maintaining all records, registrations, invoices, receipts, filings, and documentation required by applicable tax law.
The Company is not responsible for determining whether taxes apply to an Organization’s Transactions or for collecting, charging, reporting, remitting, paying, or withholding taxes on behalf of any Organization, except where the Company is expressly required to do so by applicable law. The Company may request tax information from an Organization and may withhold, deduct, report, or remit amounts where the Company determines that such action is required or appropriate under applicable law, payment processor requirements, or service provider requirements.
Organizations agree to indemnify and hold harmless the Company from and against any claims, liabilities, penalties, interest, assessments, losses, costs, and expenses arising from or relating to taxes, duties, levies, assessments, withholding amounts, governmental charges, tax registrations, tax filings, tax reporting, tax remittances, tax exemptions, or tax treatment connected with their events, memberships, registrations, ticket sales, donations, sponsorships, postings, payments, payouts, refunds, chargebacks, or other Transactions.
Ticket and Transaction Restrictions
Users may not use the Website for unauthorized ticket resale, speculative ticketing, ticket brokering, ticket scalping, payment circumvention, fraudulent registrations, false refund requests, chargeback abuse, unauthorized transfers, unlawful donations, unlawful sponsorships, money laundering, sanctions violations, tax evasion, identity theft, payment fraud, misuse of payment credentials, or any other unlawful, abusive, deceptive, high-risk, or improper Transaction activity.

Any attempted or completed transfer, resale, refund request, chargeback, payment, registration, ticket use, membership use, donation, sponsorship, or other Transaction activity in violation of applicable law, an Organization’s policies, payment processor rules, card network rules, third- party service provider terms, or these Terms and Conditions may result in cancellation of the Transaction, cancellation or invalidation of the ticket, denial of admission, refusal of service, suspension or termination of Website access, withholding or reversal of funds, refusal of future Transactions, reporting to payment processors, referral to law enforcement or regulators, or any other action deemed appropriate by the Company or the applicable Organization.
The Company is not responsible for any loss, denial of admission, cancelled ticket, invalidated registration, suspended membership, withheld funds, reversed payment, refused Transaction, or other consequence arising from or relating to a user’s or Organization’s violation of this section.
Organization Use of User Information
Where an Organization receives personal information or other information about users, members, registrants, ticket purchasers, attendees, donors, sponsors, or other persons through the Website, the Organization may use such information only for the purpose for which it was provided, including administering the applicable membership, event, registration, ticket, donation, sponsorship, communication, or Transaction, and only in accordance with these Terms and Conditions, the Privacy Policy, applicable law, and any consent or permission obtained from the applicable person.
Organizations must not sell, rent, disclose, misuse, scrape, harvest, export, or use such information for unrelated marketing, spam, profiling, solicitation, or other purposes not authorized by the Website, the Privacy Policy, and applicable law. Each Organization is solely responsible for its own privacy, anti-spam, data protection, recordkeeping, and consent obligations.
Non-Exclusive Remedies and Collections

(A) FOR ORGANIZATIONS THAT USE THE WEBSITE TO CREATE, MANAGE, PROMOTE, OR ADMINISTER PAID EVENTS, PAID REGISTRATIONS, PAID MEMBERSHIPS, TICKET SALES, DONATIONS, SPONSORSHIPS, OR OTHER PAID TRANSACTIONS, THE COMPANY’S MAXIMUM AGGREGATE LIABILITY WILL NOT EXCEED THE FEES, IF ANY, PAID DIRECTLY BY THAT ORGANIZATION TO THE COMPANY FOR USE OF THE WEBSITE, NET OF ANY THIRD-PARTY PAYMENT PROCESSING FEES, TAXES, REFUNDS, CHARGEBACKS, AND AMOUNTS PAYABLE TO THE ORGANIZATION OR ANY THIRD PARTY, IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO THE CLAIM;
(B) FOR INDIVIDUAL USERS WHO PURCHASE TICKETS, COMPLETE REGISTRATIONS, JOIN PAID MEMBERSHIPS, MAKE DONATIONS, OR COMPLETE OTHER PAID TRANSACTIONS THROUGH THE WEBSITE, THE COMPANY’S MAXIMUM AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL AMOUNT PAID BY THAT USER THROUGH THE WEBSITE FOR THE APPLICABLE TICKETS, REGISTRATIONS, MEMBERSHIPS, DONATIONS, OR OTHER TRANSACTIONS IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO THE CLAIM, EXCLUDING ANY THIRD-PARTY 25PAYMENT PROCESSING FEES, TAXES, REFUNDS, CHARGEBACKS, OR AMOUNTS PAID TO OR CHARGED BY AN ORGANIZATION OR THIRD PARTY; AND
(C) FOR ALL OTHER USERS, OR WHERE NO AMOUNTS WERE PAID DIRECTLY TO THE COMPANY OR THROUGH THE WEBSITE IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO THE CLAIM, THE COMPANY’S MAXIMUM AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
NOTHING IN THESE TERMS AND CONDITIONS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. ONLY THOSE EXCLUSIONS AND LIMITATIONS THAT ARE LAWFUL IN THE APPLICABLE JURISDICTION WILL APPLY, AND THE COMPANY’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its parent, subsidiaries, affiliates, and each of their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, complaints, liabilities, damages, judgments, awards, settlements, losses, costs, expenses, penalties, fines, interest, and fees, including reasonable legal fees and expenses, arising out of or relating to:

If you are an Organization, or if you create, administer, or use an Organization account, the foregoing indemnity also includes any claims, demands, actions, proceedings, investigations, complaints, liabilities, damages, judgments, awards, settlements, losses, costs, expenses, penalties, fines, interest, or fees arising out of or relating to your Organization account, Organization profile, membership, membership materials, event listings, events, activities, registrations, ticket sales, payments, donations, sponsorships, cancellations, postponements, rescheduling, refunds, refund disputes, chargebacks, attendee communications, user communications, advertising, promotions, tax obligations, accessibility obligations, consumer protection obligations, privacy practices, data protection practices, permits, licences, approvals, insurance, venue arrangements, health and safety obligations, alcohol, cannabis, gambling, regulated activities, charitable or fundraising activities, intellectual property rights, your authority to act for the Organization, or any failure to comply with applicable law or these Terms and Conditions.
The Company reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You agree to cooperate fully with the Company in the defence of any such matter and not to settle any matter without the Company’s prior written consent.
Guest and Walk-In Registrations
The Website may allow Organizations, event holders, or users to register or add individuals to the Website or to an event at the door, at check-in, or otherwise on-site, including guests of another registrant and individuals who have not registered for the Website in advance.
Where an Organization, event holder, or user collects, provides, or enters information about a guest, walk-in attendee, or other individual through the Website, that Organization, event holder, or user is responsible for ensuring that it has all necessary authority, consent, and legal basis to collect, provide, enter, use, and disclose that information through the Website. Such information may include, as applicable, location information, date of birth, email address, telephone number, photographs, and other information reasonably required for event registration, attendance, identification, safety, communication, or administration.
Organizations that host events and users who invite, bring, register, or otherwise facilitate the attendance of guests are responsible for ensuring that such guests are made aware of and comply with these Terms and Conditions, the Privacy Policy, the applicable Organization’s event terms, and all applicable laws. The Company is not responsible for any failure by an Organization, event holder, or user to provide required notice, obtain required consent, verify information, ensure guest compliance, or comply with applicable privacy, anti-spam, consumer protection, accessibility, safety, or other legal requirements in connection with guest or walk-in registrations.
To the maximum extent permitted by applicable law, each such Organization, event holder, and user agrees to defend, indemnify, and hold harmless the Company and its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, penalties, fines, or fees, including reasonable legal fees, arising out of or relating to any guest’s attendance, conduct, information submitted on behalf of a guest, breach or alleged breach of these Terms and Conditions, failure to comply with applicable law, or failure to provide required notice, obtain required consent, or ensure guest compliance.
Governing Law and Choice of Forum
The Website, these Terms and Conditions, your access to and use of the Website, and any dispute, claim, action, proceeding, or matter arising out of or relating to the Website or these Terms and Conditions will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule, and notwithstanding your domicile, residence, citizenship, place of organization, or physical location.

Each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts, including any objection based on inconvenient forum.
Waiver
Except as otherwise expressly set out in these Terms and Conditions, no failure, delay, or omission by the Company in exercising or enforcing any right, remedy, power, privilege, term, condition, or provision under these Terms and Conditions will operate, or be construed, as a waiver of that or any other right, remedy, power, privilege, term, condition, or provision.

Severability
If any term or provision of these Terms and Conditions is held to be invalid, illegal, void, or unenforceable in any jurisdiction, such invalidity, illegality, voidness, or unenforceability will not affect the validity or enforceability of any other term or provision of these Terms and Conditions, nor will it invalidate or render unenforceable such term or provision in any other jurisdiction.

Restricted Persons and Compliance
You represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of any person or entity located in a jurisdiction subject to applicable sanctions, trade restrictions, or export controls that would prohibit your access to or use of the Website. You further represent and warrant that you are not identified on any applicable sanctions, restricted party, denied party, or similar list. You may not access or use the Website, create an account, administer an Organization account, submit content, or complete any Transaction in violation of applicable sanctions, export control, anti-money laundering, anti- terrorist financing, or similar laws.
Assignment

Entire Agreement
The Terms and Conditions, and our Privacy Policy, constitute the sole and entire agreement between you and VISEK INC. regarding the Website and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
Force Majeure
The Company will not be liable or responsible for any failure or delay in performing, facilitating, processing, communicating, or making available any Website functionality, registration, ticketing, payment, payout, refund, membership, event-related, or Transaction-related service where such failure or delay is caused by events beyond the Company’s reasonable control, including acts of God, flood, fire, earthquake, pandemic, epidemic, public health emergency, war, terrorism, civil unrest, labour disruption, government action, law or order, power outage, telecommunications failure, internet failure, payment processor outage, banking failure, card network issue, hosting failure, cybersecurity incident, denial-of-service attack, or failure of any Organization, venue, service provider, or other third party.
Survival
Any rights or obligations that by their nature should survive will survive the cancellation, completion, reversal, refund, or chargeback of any Transaction, the suspension or termination of any account or Organization access, the removal of any content, and the expiry or termination of these Terms and Conditions. Without limiting the foregoing, all rights and obligations relating to completed or pending Transactions, fees, payments, refunds, chargebacks, taxes, deductions, setoff, reserves, investigations, disputes, enforcement, compliance with law, disclaimers, limitations of liability, indemnification, defence obligations, releases, waivers, ownership rights, licence grants, governing law, forum selection, and any amounts owed to the Company will survive to the maximum extent permitted by applicable law.
